Diligence Pro — AltFunds Global

1. Acceptance of Terms

By clicking "I Accept", creating an account, or otherwise accessing or using Diligence Pro ("Platform"), you ("User") agree to be legally bound by these Terms of Service ("Terms") with AltFunds Global ("Company", "we", "us").

This constitutes a valid electronic agreement under the Electronic Commerce Act, 2000 (Ontario).

If you do not agree, you must immediately cease use of the Platform and delete any account.

1.2 Privacy Policy Incorporation

These Terms incorporate by reference the Privacy Policy (available at /privacy), which forms part of this agreement. By accepting these Terms, you also accept the Privacy Policy.

2. Nature of the Service

Diligence Pro is a data aggregation and due diligence support platform.

It is not:

  • A bank
  • A lender
  • A legal advisor
  • A financial or investment advisor

All outputs are provided strictly for informational and research purposes only.

3. No Advice / No Reliance

You agree that:

  • The Platform does not provide legal, financial, or investment advice.
  • You will not rely on the Platform for decision-making purposes.

You remain fully responsible for all decisions, outcomes, and regulatory obligations, including compliance with applicable laws such as anti-money laundering and sanctions requirements.

4. User Accounts

You agree to:

  • Provide accurate and complete information.
  • Maintain the confidentiality of your credentials.
  • Notify us of any unauthorized access.

We may suspend or terminate accounts that:

  • Breach these Terms
  • Pose a risk to the Platform or other users.

5. Acceptable Use

You shall not:

  • Scrape, extract, or harvest data.
  • Reverse engineer or decompile the Platform.
  • Use bots or automated systems without permission.
  • Resell or redistribute outputs.
  • Use outputs to build competing products.

Violation may result in immediate termination and legal action.

6. Intellectual Property & Data Ownership

All Platform content, including:

  • Algorithms
  • Scores
  • Reports
  • Methodologies

are owned by AltFunds Global.

Data Ownership

  • You retain ownership of your raw input data.
  • AltFunds Global owns all outputs, analytics, methodologies, and aggregated or anonymised data.

You grant AltFunds Global a perpetual, royalty-free, non-exclusive licence to use, store, process, and analyse data (in anonymised form) for product improvement, benchmarking, and analytics.

7. Confidentiality

All outputs, scoring methodologies, algorithms, and system logic constitute confidential information of AltFunds Global.

You agree not to disclose or use such information except as expressly permitted.

  • Obligations survive termination for five (5) years.
  • Perpetual protection applies to trade secrets and proprietary methodologies.

This does not apply to information that:

  • Is publicly known through no fault of yours
  • Is required to be disclosed by law (with prior notice where practicable)

8. Third-Party Data

The Platform may rely on third-party data sources.

We do not guarantee:

  • Accuracy
  • Completeness
  • Timeliness

9. Limitation of Liability

To the maximum extent permitted by law:

AltFunds Global is not liable for:

  • Financial or investment losses
  • Lost opportunities
  • Reputational damage
  • Indirect or consequential damages

Liability Cap

Liability is limited to fees paid in the last 12 months or CAD $10,000, whichever is lower, except in cases of gross negligence or wilful misconduct.

9A. Indemnification

You agree to indemnify, defend, and hold harmless AltFunds Global, its officers, directors, and affiliates from any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your use or misuse of the Platform
  • Any reliance placed on outputs
  • Any breach of these Terms

10. Termination

We may suspend or terminate access:

  • For breach, misuse, or risk exposure
  • As required by law
  • Subject to applicable law

11. Arbitration

All disputes shall be resolved exclusively by:

  • Binding arbitration
  • In Toronto, Ontario
  • Under the rules of the ADR Institute of Canada (ADRIC)

You agree: You are waiving the right to bring claims in court or participate in class actions.

12. Governing Law

These Terms are governed by the laws of Ontario, Canada.

13. Changes to Terms

We may update these Terms from time to time. Continued use constitutes acceptance of updated Terms.
